Terms of Use

1. Acceptance and eligibility

These Terms of Use (the "Terms") are a binding agreement between you and PicoXAI ("PicoX," "we," "us," or "our"). You must be at least 18 years old and have legal capacity to accept them. If you act for an organization, "you" includes that organization and you confirm you can bind it.

2. Accounts and permitted use

You may use the platform only for lawful purposes and in accordance with these Terms, documentation, usage limits, and applicable provider policies. You are responsible for keeping account information accurate and credentials confidential.

You are responsible for all activity performed through your account, sessions, API keys, applications, and authorized users.

3. Your content

You retain ownership of content you submit. You represent that you have the rights, permissions, and lawful basis needed to submit it and request its processing. You grant us a limited right to host, transmit, reproduce, and process your content as needed to provide and protect the Services.

You are responsible for your prompts, inputs, configuration choices, and use or distribution of outputs.

4. Prohibited conduct

You may not use the platform to:

• Break the law, infringe rights, defraud, threaten, harass, exploit, or cause harm.
• Develop or distribute malware, phishing, credential theft, spam, or unauthorized surveillance.
• Access another person's account or systems without permission.
• Evade safeguards, quotas, access controls, billing, or provider restrictions.
• Interfere with service stability or conduct unapproved security testing.
• Resell or sublicense the Services except under a written plan that permits it.
• Misrepresent AI-generated output as verified fact where doing so could cause material harm.

5. AI models and outputs

AI systems are probabilistic. Outputs may be inaccurate, incomplete, offensive, non-unique, or unsuitable for your purpose. Similar outputs may be generated for other users. You must evaluate outputs and use appropriate human review, especially for legal, medical, financial, employment, safety, or other high-impact contexts.

Third-party models and providers may apply additional terms, licenses, or restrictions. We do not control their availability or conduct.

6. Privacy and security

We process information to provide, secure, and improve the platform and to meet legal obligations. You must not submit personal data unless you have a lawful basis and have provided required notices. You are responsible for configuring your use to match your privacy and retention requirements.

Report suspected security issues privately to [email protected]. Do not publicly disclose vulnerabilities before we have a reasonable opportunity to investigate.

7. Intellectual property

The platform, software, interfaces, site content, documentation, design, trademarks, and related technology are owned by us or our licensors. These Terms do not transfer ownership to you. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law or a signed agreement.

8. Disclaimers

The platform is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security. We do not warrant that outputs or third-party services will be correct, uninterrupted, or free from harmful components.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data.

Our aggregate liability relating to the platform will not exceed the greater of USD 100 or the amount you paid us during the three months before the event giving rise to the claim. Some jurisdictions do not allow certain exclusions, so portions of this section may not apply to you.

10. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless PicoXAI and its officers, directors, employees, and affiliates from claims, losses, and expenses arising from your content, your use of the Services, or your violation of these Terms or another person's rights.

11. Suspension and termination

You may stop using the platform at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, fail to pay amounts due, or if suspension is reasonably necessary to protect users, providers, or systems.

Termination does not relieve you of accrued payment obligations. Provisions concerning ownership, disclaimers, liability, indemnity, and disputes survive termination.

12. Changes to these Terms

We may update these Terms as the platform or law changes. The current effective date and version appear at the top of this page. We may require you to accept material changes before continuing to use the platform. Continued use after an update takes effect constitutes acceptance where permitted by law.

If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms and the Service Agreement are the complete agreement governing general use of the platform unless a signed agreement states otherwise.
